The Firm handles all aspects of real estate, including purchases sales and leases of residential houses, Cooperative apartments, condominiums, multiple unit dwellings, professional offices, commercial and industrial property and vacant land. The Firm is involved with the real estate transactions from their inception. Attorneys at the firm draft, review, and negotiate contracts of sale of both personal residences and commercial real estate; and always attend and represent clients at real estate closings.
The Firm drafts, reviews and negotiates long term and short term commercial, professional, and residential leases and subleases. When drafting, analyzing or negotiating a lease the Firm always takes into consideration the tenant’s use to assist the attorney in determining the appropriate term of lease as well as whether specific terms and conditions much be included or excluded from said lease due to various governmental proscriptions governing the anticipated use.
Estate Planning and Administration
Several areas of Firm expertise include personal tax planning, tax planning for life insurance and charitable rusts, estate tax motivated partnership and asset planning, restructuring and estate administration.
The Firm has expertise in general estate planning includes minimizing the costs of transferring assets to heirs and beneficiaries. Such costs include federal estate taxes and state inheritance taxes. The Firm assists in the transfer of assets to the intended beneficiaries.
When probate is required, the Firm prepares the necessary court filings and obtains the appointment of the executor or administrator of the estate. Claims are filed, assets and accountings are prepared, appraisals are obtained.
Landlord Tenant Law
The attorneys in the firm have wide-ranging experience representing both owners and tenants in court and before administrative agencies in all facets of commercial and residential landlord tenant law.
Our roster of landlord clients includes commercial landlords, cooperative corporations, condominium associations and not-for-profit entities which provide supportive housing.
The firm also represents individual residential and commercial tenants and tenant associations in matters ranging from individual non-payments to rent strikes to holdovers, to buy-outs.
Cooperatives and Condominiums
The firm’s attorneys have extensive experience in representing cooperative corporations and condominium associations and we serve as general counsel to approximately thirty such entities, with many relationships spanning nearly twenty years. The attorneys in the firm are able to cater to the full range of services required by such entities, including non-payment cases, actions involving non-monetary breaches of proprietary and commercial leases, general advice regarding the laws applicable to the corporation or condominium association, mortgage refinancing, preparation and negotiation of commercial leases, litigation, and serving as the transfer agent. We continue to perform these services for market rate cooperatives and condominiums as well as Mitchell-Lamas and Housing Development Fund Corporations.
In addition to representing existing cooperatives and condominium associations, the firm has experience in all aspect of the conversion of properties from individual or corporate ownership to cooperative ownership.
Not-For-Profit Entities
Attorneys in the firm have experience in representing not-for-profit corporations in a wide range of areas including initial organization, 501(c)(3) applications, fund raising regulations, corporate governance, and dispute resolution with the Charities Bureau of the New York State Attorney General’s Office
